TERMS AND CONDITIONS OF SALE – BITCOIN MINING MACHINES

Buyer: The person or entity purchasing the machines (“Buyer”)By placing an order or making payment, the Buyer agrees to these Terms and Conditions, which form the entire agreement between Seller and Buyer. Any conflicting terms from the Buyer are rejected.1. Products and Description Seller sells Bitcoin mining hardware (e.g., ASIC miners such as Bitmain Antminers, including any accessories or parts) as described on the invoice, order confirmation, or listing (“Products”).
All descriptions, specifications, and hashrate estimates are approximate and provided for information only. Actual performance may vary due to factors like power supply, environment, firmware, and wear.
Products are sold for personal/commercial / industrial use only. Buyer acknowledges they are not for resale unless a separate reseller agreement exists.2. Orders and AcceptanceOrders are accepted only upon Seller’s written confirmation (email or invoice) and full payment.
All orders are irrevocable once confirmed. Buyer may not cancel, modify, or defer shipment without Seller’s prior written consent (which may be withheld).3. Price and Payment
- The purchase price is as stated on the invoice/order confirmation (“Purchase Price”).
- Prices exclude shipping, insurance, packaging, taxes, duties, VAT, customs fees, or any other charges (all of which are Buyer’s responsibility).
- Payment must be made in full in advance via [list accepted methods, e.g., credit card, depitc card, bank wire, USDT, BTC, or other crypto/stablecoins].
- Title and risk of loss do not pass until full payment is received and cleared.
- Seller may cancel the order without liability if payment is not received within 2 days of order confirmation.
- No refunds or credits for price fluctuations in cryptocurrency or hardware market value.
4. Delivery and Shipping
- Delivery is [choose Incoterms, e.g., EXW (Seller’s warehouse), FOB, or DDP as agreed].
- Seller will ship the Products to the address provided by Buyer using a reputable carrier. Estimated delivery dates are not guaranteed and are for information only.
- Buyer pays all shipping, insurance, and related costs.
- Risk of loss or damage passes to Buyer upon handover to the carrier (or upon collection if Buyer picks up).
- Buyer is responsible for all import/export compliance, permits, duties, and taxes in their jurisdiction. Seller has no liability for customs delays or seizures.
- If Buyer refuses delivery or fails to provide a valid address, Buyer bears all additional storage, return, or disposal costs.
5. Inspection, Acceptance, and Returns
- Buyer must inspect Products immediately upon receipt and notify Seller in writing of any visible damage or defects within [3–7] days.
- Products are sold “AS IS, WHERE IS” with no right of return, refund, or exchange except as required by mandatory consumer law (if Buyer is a private consumer) or as explicitly approved by Seller in writing.
- Due to the connection of mining machines to volatile cryptocurrency markets, industrial equipment sales are generally final and non-cancellable.
- Any approved return requires a Return Merchandise Authorization (RMA) number, original packaging, and Buyer paying all return shipping costs. Seller may deduct restocking fees.
6. Warranties and Disclaimers
- Seller provides no warranties except any transferable manufacturer warranty (if the machine is new).
- For used or refurbished machines: sold with no warranty unless separately stated.
- Seller does not warrant:
- Hashrate, profitability, or mining performance (market and network conditions vary).
- Fitness for any particular purpose.
- Freedom from defects after risk passes.
- Warranty is void if Buyer modifies the machine, uses improper power/ventilation, or fails to follow manufacturer guidelines.
- ALL OTHER WARRANTIES (EXPRESS, IMPLIED, STATUTORY) ARE DISCLAIMED, including merchantability and fitness for purpose.
7. Limitation of LiabilitySeller’s total liability under any claim is limited to the Purchase Price actually paid for the specific Product.
Seller is not liable for any indirect, consequential, incidental, or punitive damages, including:
- Loss of profits, revenue, or cryptocurrency earnings
- Downtime, data loss, or business interruption
- Any damages arising from market volatility or regulatory changes
This limitation applies even if Seller was advised of the possibility of such damages.
8. Force MajeureSeller is not liable for delays or failure to deliver due to events beyond its reasonable control (e.g., strikes, floods, wars, supply shortages, manufacturer delays, government actions, pandemics, or cryptocurrency network issues).9. Compliance with LawsBuyer agrees to comply with all applicable laws, including export controls, sanctions, anti-money laundering rules, and tax obligations. Buyer indemnifies Seller against any losses from Buyer’s non-compliance.10. Governing Law and Dispute Resolution This Agreement is governed by the laws of Oregon, USA.
Any disputes shall first be attempted to be resolved amicably. Remaining disputes shall be resolved by [arbitration / courts of the chosen jurisdiction].11. Miscellaneous
- These Terms may be updated by Seller; continued business constitutes acceptance of the latest version.
- If any provision is invalid, the remainder remains in effect.
- Buyer may not assign this Agreement without Seller’s consent.
- Entire agreement: These Terms supersede all prior discussions.
By purchasing, Buyer confirms they have read, understood, and agree to these Terms and Conditions.
